Welcome to MySurgeryQuote. These Terms of Service (“Terms”) govern your use of the MySurgeryQuote software application and services (“Service”) operated by MySurgeryQuote (“Company,” “we,” “us,” or “our”).
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. Description of Service
MySurgeryQuote provides cloud-based surgery quote software designed for medical practices. The Service enables users to create, manage, and generate patient quotes for surgical procedures, including automatic fee calculations, PDF generation, and quote management.
2. Account Registration
To use the Service, you must:
- Be at least 18 years old
- Be authorized to represent the medical practice on whose behalf you are registering
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
You are responsible for all activities that occur under your account.
3. Subscription and Payment
3.1 Pricing
- Solo Plan: $100 per month (1 surgeon)
- Practice Plan: $150 per month (2 surgeons included, +$50/month per additional surgeon)
- Multi-Location Plan: Custom pricing
3.2 Billing
- Subscriptions are billed monthly in advance
- All fees are non-refundable except as required by law
- We reserve the right to change pricing with 30 days’ notice
3.3 Cancellation
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial months
4. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose
- Violate any applicable healthcare laws or regulations
- Share account credentials with unauthorized users
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Upload malicious code or content
- Use the Service to store or transmit protected health information (PHI) except as permitted under HIPAA and our Business Associate Agreement
- Resell or redistribute the Service without authorization
5. Protected Health Information (PHI)
5.1 HIPAA Compliance
MySurgeryQuote is designed to be used in compliance with the Health Insurance Portability and Accountability Act (HIPAA). By using the Service to process PHI, you agree to:
- Execute a Business Associate Agreement (BAA) with us
- Comply with all applicable HIPAA requirements
- Ensure appropriate authorization for any PHI entered into the system
5.2 Your Responsibilities
You are responsible for:
- Obtaining necessary patient consents
- Ensuring only authorized personnel access PHI through your account
- Complying with your own privacy and security policies
- Training your staff on proper use of the Service
6. Data Ownership and Security
6.1 Your Data
You retain all ownership rights to the data you enter into the Service. We do not claim ownership of your patient information, procedure lists, pricing, or quotes.
6.2 Data Security
We implement appropriate technical and organizational measures to protect your data, including:
- Encryption of data in transit and at rest
- Secure data centers
- Regular security assessments
- Access controls and audit logging
6.3 Data Backup
We perform regular backups of Service data. However, you are encouraged to maintain your own records of critical information.
7. Intellectual Property
7.1 Our Property
The Service, including its original content, features, and functionality, is owned by MySurgeryQuote and is protected by copyright, trademark, and other intellectual property laws.
7.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription term.
8. Third-Party Services
The Service may integrate with third-party services (payment processors, email providers, etc.). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service is free of viruses or harmful components
- The results from using the Service will meet your requirements
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYSURGERYQUOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless MySurgeryQuote and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any PHI or other data you process through the Service
12. Termination
12.1 By You
You may terminate your account at any time by canceling your subscription and notifying us.
12.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach these Terms
- You fail to pay applicable fees
- We are required to do so by law
- We discontinue the Service
12.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We will provide a reasonable opportunity to export your data
- We may delete your data after 30 days following termination
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Business Associate Agreement (if applicable), constitute the entire agreement between you and MySurgeryQuote regarding the Service.
